CDA offers full range services to issuers of financial instruments, which includes:

1. Shareholders registry keeping, including:

You can download and review/complete documents required to conclude a registry keeping agreement with the CDA, as well as the sample agreement (all downloadable from the Armenian version of this page):

- Application form;

- List of holders (nominal holders) of securities;

- Sample Power of Attorney;

- Appendices;

- Copy of the state registration certificate (including copies of all appendices);

- Copy of the CEO's passport;

2. Security placement services, including:

• recording data issuers and securities issued (but not allocated yet),
• opening of a securities issuance account for issuers,
• entering the securities issued (but not allocated yet) to the account,
• transferring securities from the issuance account of the issuer to the personal accounts of holders.

3. Services related to company corporate actions, including:

• amending issuer’s registry records to reflect changes resulting from division or consolidation of securities, conversion of one class of securities into another, or issuer’s reorganization,
• entering to the issuer’s personal account the securities of the same class issued by itself in the result of obtaining or buying back,
• as a result of the issuer’s corporate action, notifying to the registered owners (nominees) about the calculation of the fractional shares in their personal accounts,
• as a result of the issuer’s corporate action, providing a list of fractional shares’ registered owners (nominees) to the issuer.

4. Providing information on registered shareholders, including:

• providing the list of registered holders of securities of a particular class at the issuer’s request, or a request from persons authorized to obtain such information by the Armenian legislation in force;
• at the issuer’s request, providing a statement on transactions in its common shares.

According to the Law of the Republic of Armenia "On Securities Market", issuers of securities admitted to trading on the regulated market, except the Government and the Central Bank of Armenia; educational, charity or other non-profit organizations; banks and international organizations issuing some types of non-equity securities (see the text of the Law for full details) must have their registries kept by the Central Depository. If a company plans to have its securities listed on NASDAQ OMX Armenia, it should first apply to the CDA to conclude a registry keeping agreement as detailed on top of this page.
